Terms & Conditions

INTERIOR DEISGN & RENOVATION WORKS

 

These Terms and Conditions (“Agreement”) establish the rights, responsibilities, and obligations of Mins Design Enterprise (“Mins Design”) and the client (“Client”). By engaging Mins Design’s services, the Client agrees to the following:

 

1. Scope of Services
– Designer will provide interior design services as outlined in the project proposal or agreed quotation, including consultations, space planning, material and furniture selection*, and project management as applicable.

– Additional services requested by the client will require a new quotation and agreement.

2. Payment Terms

Deposit: 15% of non-refundable deposit is required to secure the project.

Progress Payments: Payments are due at key project milestones, as specified in the agreement.

Final Payment: The remaining balance is due upon project completion and before final deliverables are handed over.

3. Interest on Late Payments

Payments not received within thirty (30) days from the due date will incur interest at a rate of twelve percent (12%) per annum.

4. Design Fees & Budget Management

– The client agrees to the fees and budget outlined in the proposal.

– Any changes or additions to the scope of work will be subject to additional charges.

5. Ownership of Design

– The interior design concepts, drawings, and renderings remain the intellectual property of the studio until the final payment is received.

– After full payment, the client is granted a license to use the design for the agreed project.

6. Cancellation & Refunds

–  Before Work Commencement: Cancellations made before work begins will result in forfeiture of the deposit.

–  After Work Commencement: If cancellation occurs after work has started, 80% of the total project cost will be charged as compensation.

–  Mins Design reserves the right to terminate the agreement if the Client fails to meet obligations, including timely payments or approvals.

7. Project Timeline
– An estimated timeline will be provided prior to the commencement of work.

– Company-Related Delays: If delays are due to the company’s requirements, the timeline will be extended at no additional cost.

– Customer-Related Delays: Delays caused by the customer will incur additional charges to cover the costs of adjustments or extensions.

– The company is not responsible for delays resulting from the customer’s failure to make agreed progress payments.

8. Client Responsibilities
– The Client agrees to provide accurate information, timely feedback, and approvals to ensure the smooth progress of the project.

– The Client is responsible for preparing the project site, including obtaining permissions from property management or authorities as required.

– The customer must provide access to Mins Design personnel.

9. Assumption of Risk

– The customer acknowledges that the site may be unsafe during construction.

– The customer assumes all risks related to personal injury for themselves, family members, guests, agents, or invitees during construction.

10. Property & Belongings
–  The Cilent must safeguard personal belongings and furniture on-site.
–  If assistance is requested for moving items, Mins Design is not liable for any damages that may occur during or after the process.
–  Mins Design will make reasonable efforts to minimize damage to existing property improvements but is not responsible for minor incidental or consequential damages.
– Removal or moving of items (e.g., furniture, fixtures) is not included unless explicitly stated in the written quotation.

11. Third-Party Contractors & Suppliers
– Mins Design may recommend third-party contractors or suppliers for project execution. However, contracts with these parties will be directly between the Client and the third party.
– Mins Design is not liable for delays, defects, or issues caused by third-party contractors or suppliers.

12.Design Revisions
– Design drawings are provided based on items listed in the agreed quotation without additional charges.
– Mins Design reserves the right to plan, arrange, sketch, and create design drawings at its discretion.
– Amendments to the design are at the company’s discretion and may incur additional charges based on discrepancies.
– The Client is entitled to 3 rounds of revisions as specified in the agreement.
– Additional revisions beyond the agreed rounds will incur extra charges based on the Mins Design Enterprise’s standard rate or as quoted separately.

13. Additions or Changes
– Any changes to the project must be approved by MINS Design.

– The customer must not give directions or instructions to MINS Design personnel or subcontractors.

– Additions or variations requested by the client are subject to a new quotation and updated terms and conditions.

14. Final Payment
– Final payment of 5% is due within three (3) days after project completion and inspection.

15.Corrective Work 
– Mins Design will strive to satisfactorily complete all project items within a reasonable timeframe and with minimal disturbance.

– Corrective work may be required after inspection by both parties.

– The need for corrective work does not permit the customer to withhold or delay final payment.

16. Warranties & Liability
– A one (1) month limited warranty is provided upon project completion.
– The warranty becomes void if the final payment is not made.
– All repair and touch-up requests must be submitted within the one-month warranty period.
– Mins Design does not provide warranties for third-party products, materials, or workmanship.
– Mins Design is not liable for damages caused by improper use, normal wear and tear, or failure to follow maintenance instructions.
– The Client assumes all risks associated with the project site during construction or installation.

17.Use of Utilities

– Unless otherwise agreed in writing, MINS Design Enterprise and its team may use on-site utilities (e.g., electricity, water) and bathroom without charge.

18.Confidentiality & Use of Project Images
– Mins Design will maintain the confidentiality of all Client information.
– Mins Design reserves the right to photograph the completed project and use images for marketing purposes unless the Client expressly requests otherwise in writing.

19.Termination of Agreement
– Either party may terminate this agreement by providing written notice.
– The Client will be responsible for payment of all work completed up to the termination date.

20. Acceptance of Terms
By signing the agreement or making the required deposit, the Client confirms acceptance of these Terms & Conditions.

21.Governing Law
This Agreement, including all terms and conditions related to the services provided by Mins Design,shall be governed by and construed in accordance with the laws of Malaysia. The Agreement is deemed to be a contract formed under Malaysian law, without regard to its conflict of law principles. In the event of any dispute, both parties agree to submit to the non-exclusive jurisdiction of the courts of Malaysia.
